Terms of Service
These terms are an agreement between you and Lumatrait LLC (“we”, “us”) for using Verbatim. If you use Verbatim for your employer, you agree to these terms for them and confirm you're allowed to. If you don't agree, don't use Verbatim.
1. The service
Verbatim turns your sales call notes into a web page for your prospect, styled after your company's website, and shows you how prospects engage with it. We may improve, change or remove features over time. If we remove something central to what you pay for, we'll tell you first.
2. Your account
- You must be at least 18 and use Verbatim for business.
- Give accurate information and keep access to your email secure, since that's how you sign in.
- You're responsible for what happens under your account.
3. Trial, billing and cancellation
- Free trial. New accounts get a 14-day free trial. A card is required to start it. If you don't cancel before the trial ends, your subscription starts and your card is charged.
- Subscription. Verbatim is billed monthly in advance at the price shown at checkout, plus any applicable taxes, and renews automatically until you cancel. Payments are processed by Stripe.
- Cancel any time in Billing. Cancellation takes effect at the end of the current billing period, and you keep access until then. We don't refund partial months, except where the law requires it.
- Price changes. We'll give you at least 30 days' notice by email before a price change applies to you.
- Failed payments. If a payment fails, we may pause page creation until it's fixed. Pages you already sent keep working for at least 30 days.
3a. Beta
- While Verbatim is in beta, access is by invitation and free unless we agree otherwise in writing. Features may change, and the service is provided as-is, without uptime commitments.
- We'll give you at least 14 days' notice by email before the beta ends or before any charge applies to you. If you don't want to continue, your account is deleted as described in the Privacy Policy.
- Section 3 applies once paid plans are turned on for your account.
4. Your content
You own what you put into Verbatim, such as notes, proof and edits, and the pages made from it. You give us permission to host, process and display that content only to run Verbatim for you, including sending it to our service providers listed in the Privacy Policy. You confirm you have the right to use the information you enter, including information about your prospects, and that sharing it with them is lawful.
5. AI-written pages
Verbatim writes pages with AI and checks claims against the sources you provide. It can still get things wrong. You review every page before you send it, and you're responsible for what you send. Don't rely on Verbatim for legal, financial or other professional advice to your prospects.
6. Acceptable use
Don't use Verbatim to:
- Send spam or messages that break anti-spam or privacy laws.
- Pretend to be a company or person you don't represent, or make pages styled after a website you have no right to use.
- Publish false, misleading, unlawful, hateful or infringing content.
- Break, overload, scrape or reverse-engineer Verbatim, or get around its limits or security.
- Collect sensitive personal information, such as health, financial account or government ID numbers, through your pages.
We may remove content or suspend accounts that break these rules. Where reasonable, we'll tell you first.
7. Our property
Verbatim, its software and its design belong to Lumatrait LLC. These terms don't give you any rights to them beyond using the service. If you send us feedback, we may use it without owing you anything.
8. Other services
Verbatim connects to services like Slack and Stripe. Your use of those services is governed by their own terms.
9. Ending the agreement
You can stop using Verbatim and cancel at any time, or delete your account in Settings. We may suspend or end your access if you seriously or repeatedly break these terms, or if the law requires it. When your subscription ends or you delete your account, you have 30 days to ask for an export of your content or to change your mind. After that it's deleted automatically, as described in the Privacy Policy.
10. Disclaimers
Verbatim is provided “as is” and “as available.” To the extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement. We don't promise the service will be uninterrupted or error-free, or that any page will win you a deal.
11. Limits on liability
To the extent the law allows, neither side is liable for indirect, incidental, special, consequential or punitive damages, or lost profits or revenue. Our total liability for any claim relating to Verbatim is limited to the amount you paid us in the 12 months before the claim. These limits don't apply where the law doesn't allow them.
12. Indemnity
If someone makes a claim against us because of content you put into Verbatim or pages you sent, or because you broke these terms, you'll cover our reasonable costs of dealing with it.
13. Governing law
These terms are governed by the laws of the State of Utah, without regard to its conflict-of-law rules. Disputes will be handled in the state or federal courts located in Utah, and both sides agree to that.
14. Changes to these terms
If we change these terms in a way that matters, we'll tell you by email or in the app at least 30 days before the change applies. If you keep using Verbatim after that, the new terms apply.
